Terms of Use for OMNIplus BusDoc
1. Scope of application
The following terms of use for the OMNIplus BusDoc ("OMNIplus BusDoc") after-sales online platform of Daimler Buses GmbH ("Terms of Use"), Fasanenweg 10, 70771 Leinfelden-Echterdingen, Germany, ("Daimler Buses") apply to chargeable access to Service Information and other technical information for buses of the Mercedes-Benz and SETRA brands of Daimler Buses via OMNIplus BusDoc as well as for the use of this technical information.
2. Customer
“Customer” is the person who fulfils the requirements in accordance with Clause 4.1 and has successfully and properly concluded these Terms of Use in accordance with Clause 3.1.
3. Entry into force of the Terms of Use, entitlement to use technical information
3.1 The prerequisite for access to technical information and for authorization to use it is that the customer registers with OMNIplus BusDoc and accepts the terms of use online. The Terms of Use shall enter into force between the Customer and Daimler Buses when the Customer receives confirmation, but no later than the date on which the Customer has access to the respective technical information for the first time.
3.2 The contract shall be concluded in German or English.
3.3 Upon the entry into force of the Terms of Use, the Customer is entitled to acquire access to the technical information provided by Daimler Buses in order to use it.
3.4 The General Terms and Conditions separately agreed between the Customer and Daimler Buses apply to the acquisition of access to the technical information. These Terms of Use apply to the Customer’s use of the Technical Information.
4. Scope of the offer
4.1 The technical information is intended exclusively for customers who have a valid VAT ID and belong to the eligible group of persons according to the Block Exemption Regulation (GO No. 1400/2002 of 31 July 2002) with their registered office within the European Union or within an EFTA State. This authorised group of persons includes, among others, independent workshops, manufacturers of repair equipment, publishers of technical information, automotive club employees, breakdown service employees, providers of inspection and test services, employees of facilities for the training and further training of vehicle mechanics, manufacturers or dealers of workshop equipment, tools or spare parts. In addition, all authorised service partners of Daimler Buses belong to the authorised group of persons. By accepting the Terms of Use, the Customer confirms that he/she belongs to the eligible customer group.
4.2 Subject to clause 4.9, the technical information is generally available in all target countries.
4.3 Daimler Buses also reserves the right to deactivate access to the technical information for security reasons (e.g. in the event of security gaps) or for other important reasons.
4.4 The technical information shall be made available to the Customer for the duration of its validity and use at Daimler Buses. Despite the strict quality procedures of Daimler Buses, errors or incompleteness in the technical information cannot be completely excluded. The technical information is constantly updated and may therefore change during the period of provision.
4.5 We reserve the right to make changes and additions to the Terms of Use to the extent that they are to the benefit of the Customer. Furthermore, Daimler Buses is entitled to make changes for valid reasons, in particular if new technical developments, changes in jurisprudence or other equivalent reasons make this necessary. If the amendment significantly disrupts the contractual balance between the parties, the amendment shall not be made. Other changes and additions to the Terms of Use shall be notified to the Customer in text form (including email) at least two months before the date on which the change or addition takes effect (calculated from the date on which the Customer receives the notification). They shall be deemed approved if the Customer does not object within this period of two months from receipt of the notification. Daimler Buses will draw the Customer’s attention to this legal consequence separately in the notification.
4.6 Access to the technical information may be subject to restrictions beyond the control of Daimler Buses. The technical information is generally available to the Customer twenty-four (24) hours a day, seven (7) days a week. Exceptions to this may be maintenance work or system failures. Any maintenance time slots are announced to the customer as early as possible via an info box within BusDoc. The Provider can also use the Christmas, Easter and Whitsun holidays as well as New Year’s Eve/New Year as maintenance time slots. This will also be communicated to the customer as early as possible. During a maintenance window, access to and use of technical information, including the OMNIplus BusDoc platform, may be temporarily suspended. This is not a defect and does not entitle the customer to assert claims based on this.
5. Right of use, scope of use and contractual penalty
5.1 The Customer is granted a simple, non-exclusive, non-transferable right to use the technical information, limited to the agreed period of use, locally bound to the Customer’s registered office. Reproduction (e.g. making copies) of the technical information is prohibited; as well as the preparation and processing of the technical information by the Customer or by third parties commissioned by the Customer. Third parties in this sense are also establishments within a company or workshop group.
5.2 The Customer undertakes to use the technical information exclusively in its business for the purpose of servicing the vehicles of its customers and not to make the technical information accessible to third parties, even in excerpts. To the extent permitted by law, he must also impose these obligations on his employees. The Customer shall secure the access data for OMNIplus BusDoc by means of suitable measures against access by unauthorised third parties, in particular the access data must be stored in a protected location.
5.3 In the event that the technical information comes into the hands of unauthorised third parties because the Customer passes it on or does not ensure that this unauthorised third party does not have access, the Customer shall pay a contractual penalty to Daimler Buses. This is to be calculated on the basis of the fee agreed between the Customer and Daimler Buses for access to the technical information and is ten times the aforementioned fee. The contractual penalty shall be paid separately for each case of use of the technical information by unauthorised third parties, waiving the defence of continuation. The contractual penalty shall not apply if the Customer has not acted intentionally or negligently. The right of Daimler Buses to claim damages against the contractual penalty remains unaffected.
5.4 At the end of the contract, irrespective of the time, the customer is obliged to remove the programs and documents subject to the contract from their data processing systems. To this end, the Customer shall destroy these in such a way that reconstruction is excluded. The same applies to operator documentation, literature, copies and other materials. The Customer shall confirm the destruction to Daimler Buses in writing upon request.
6. Fees and costs
There is no fee for signing up to the Terms of Use. The fees of Daimler Buses apply to access to the technical information.
7. Instructions for use
7.1 The technical information is only suitable for authorised persons with the training level of a qualified mechanic with good knowledge of the respective product. This level of knowledge is essential for using the technical information provided and for carrying out work on the vehicles. If this knowledge and product knowledge are not available, this work should not be carried out and should be entrusted to an OMNIplus workshop.
7.2 The technical information may contain information on required special tools. If this is the case, this special tool must be used to carry out the repair work correctly. Daimler Buses is not liable for any damage resulting from a violation of the information and instructions contained in the technical information.
8. Term and termination
8.1 The Terms of Use are valid for an indefinite period. The term of access to the technical information is also unlimited.
8.2 Daimler Buses may terminate the Terms of Use with a notice period of three months to the end of the month, but at the earliest at the end of access to the technical information. Daimler Buses may terminate access to the technical information without notice for good cause. Good cause shall be deemed to exist in particular if the Customer duplicates or reproduces the technical information or has it duplicated or reproduced, passes on the technical information to third parties or if the Customer does not belong to the authorised customer group specified in Section 4.1. Daimler Buses shall declare the termination of the Terms of Use or the termination of access to the technical information in text form (including e-mail). If Daimler Buses terminates access to the technical information without notice for good cause, Daimler Buses reserves the right to claim damages from the customer for breach of contract. Claims by the Customer for reimbursement of the agreed fee for access are excluded in the event of termination by Daimler Buses for good cause.
8.3 The Customer may terminate the Terms of Use with a notice period of three months to the end of the month. The Customer may terminate access to the technical information at any time. The fee agreed for access for the current calendar year will not be reimbursed in this case, even if the Customer has not used the access option during the entire term of the contract. Termination for good cause shall remain unaffected. Claims by the Customer for reimbursement of the agreed fee for access are also excluded in the event of termination for good cause. The Customer shall terminate the Terms of Use or access to the Technical Information, for whatever reason, via his User Account or in text form (including email) to Daimler Buses.
9. Liability
9.1 If Daimler Buses is liable under applicable law for damage caused by slight negligence, Daimler Buses’ liability shall be limited as follows: Liability exists only in the event of a breach of material inherent obligations arising from access to and use of the technical information, such as those which are intended to impose the Terms of Use on Daimler Buses in accordance with their content and purpose or the fulfilment of which makes proper access to and use of the technical information possible in the first place and on whose compliance the Customer regularly relies and may rely. This liability is limited to typical damage foreseeable at the time the Terms of Use take effect. If the Customer is a business person acting in the course of his commercial or self-employed professional activity when concluding the Terms of Use, the same shall apply to damage caused by gross negligence, but not in the event of gross negligence caused by legal representatives or executive employees of Daimler Buses.
9.2 Regardless of any fault on the part of Daimler Buses, any liability of Daimler Buses arising from the assumption of a warranty or a procurement risk and in accordance with the German Product Liability Act (ProdHaftG) or other applicable product liability laws shall remain unaffected.
9.3 The personal liability of the legal representatives, vicarious agents and employees of Daimler Buses for damage caused by their slight negligence is excluded. The limitation of liability regulated in this respect for Daimler Buses shall apply mutatis mutandis to damage caused by them, with the exception of legal representatives and senior managers, through gross negligence.
9.4 The limitations of liability in this section do not apply in the event of injury to life, limb or health.
10. Data protection and data security
10.1 Daimler Buses takes the protection of the personal data of customers seriously and pays attention to the protection of the privacy of customers when processing personal data.

11. Final provisions
11.1 The Customer may not transfer rights and obligations arising from these Terms of Use to third parties, in whole or in part, without the prior written consent of Daimler Buses. The place of performance and exclusive place of jurisdiction for all present and future claims arising from or in connection with the Terms of Use is Stuttgart if the Customer does not have a place of jurisdiction in one of the Target Countries, moves his registered office to a country outside the Target Countries after conclusion of the Terms of Use, or if his registered office is not known at the time the action is filed. Daimler Buses is always entitled to sue the Customer at its general place of jurisdiction. In all other respects, the place of performance and place of jurisdiction for all claims between Daimler Buses and the Customer shall be the Customer’s permanent place of business. If the Customer is a consumer, the Customer’s right to bring legal action against Daimler Buses at the registered office of Daimler Buses remains unaffected.
11.2 The present relationship between the Customer and Daimler Buses shall be governed by the law of the Federal Republic of Germany, unless mandatory national consumer protection regulations under the law of the country in which the Customer has his domicile or habitual residence take precedence to the benefit of the Customer. This could, for example, result in a scope of liability of Daimler Buses that goes beyond Clause 9.
11.3 Should one or more of the foregoing provisions be or become invalid, the validity of the remaining provisions shall not be affected.
